MĀLA MATCH TERMS AND CONDITIONS

1. Ownership and Overview

Māla Match (“the Platform”) is owned and operated by Waiʻōmaʻo Momona LLC, a limited liability company registered in the State of Hawaiʻi (“we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of the Māla Match website and platform, including any related services provided through it.

By creating an account or using Māla Match, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

2. Role of Māla Match

Māla Match acts solely as a facilitation platform connecting:

  • Landowners, who wish to list land for lease or stewardship, and
  • Farmers, who seek land for cultivation, agroforestry, or related purposes.

Māla Match is not a party to any lease, agreement, or financial arrangement entered into between Landowners and Farmers.
All agreements are solely between the users.

3. Eligibility

To use Māla Match, you must:

  • Be at least 18 years of age;
  • Have the authority to enter into legally binding agreements;
  • Provide accurate, complete, and current information during registration.

We reserve the right to suspend or terminate any account that violates these Terms.

4. Account Types

Users may register as one of the following:

  • Farmer: individuals or entities seeking land to cultivate or steward.
  • Landowner: individuals or entities listing land for lease or partnership.

Each user is responsible for maintaining the confidentiality of their account credentials and for all activity under their account.

5. Responsibilities of Farmers

Farmers agree to:

  • Use the land in a lawful, safe, and sustainable manner.
  • Respect the terms of the signed lease or stewardship agreement.
  • Maintain the property in good condition, apart from reasonable wear and tear.
  • Obtain and maintain any necessary licenses, permits, or insurance required for their operations.

6. Responsibilities of Landowners

Landowners agree to:

  • Provide accurate descriptions of their property and any applicable restrictions.
  • Comply with all relevant laws, zoning, and conservation requirements.
  • Enter into fair and transparent lease or stewardship agreements.
  • Ensure that access to the property does not violate third-party rights.

7. Lease Agreements and Payments

All lease agreements and payment arrangements are directly between the Landowner and Farmer. Māla Match may provide tools for facilitating digital signatures and payments, but Waiʻōmaʻo Momona LLC is not responsible for enforcing or guaranteeing any terms, payments, or performance.

8. Fees

Māla Match may charge service or processing fees for use of certain platform features. All fees are disclosed prior to payment and are non-refundable except as required by law.

9. Limitation of Liability

Waiʻōmaʻo Momona LLC and Māla Match make no guarantees regarding the safety, quality, legality, or suitability of any listed land, users, or agreements formed through the Platform. You acknowledge and agree that:

  • The Platform is provided “as is” and “as available.”
  • Waiʻōmaʻo Momona LLC shall not be liable for any damages, losses, or disputes arising from or related to:
    • Misrepresentation by users,
    • Breach of contract between Farmers and Landowners,
    • Property damage or injury,
    • Environmental or regulatory issues, or
    • Any indirect, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless Waiʻōmaʻo Momona LLC, its owners, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from:

  • Your use or misuse of the Platform,
  • Any agreements or disputes with other users,
  • Your violation of these Terms or applicable law.

11. Intellectual Property

All content, branding, and software related to Māla Match are the property of Waiʻōmaʻo Momona LLC and are protected by copyright, trademark, and other applicable laws. Users may not copy, modify, distribute, or reverse-engineer any part of the Platform without express written consent.

12. Privacy

Māla Match respects your privacy and handles personal data in accordance with our Privacy Policy, which outlines how information is collected, used, and protected. By using the Platform, you consent to this policy.

13. Termination

Waiʻōmaʻo Momona LLC reserves the right to suspend or terminate access to any user account at its discretion, without notice, if:

  • The user violates these Terms,
  • Fraudulent or harmful activity is detected, or
  • The Platform undergoes operational changes.

Upon termination, any rights or obligations between Landowners and Farmers remain governed by their individual agreements.

14. Dispute Resolution

You agree that any disputes or claims arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration conducted in the State of Hawaiʻi, pursuant to the rules of the American Arbitration Association.
Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

15. Governing Law

These Terms are governed by and construed under the laws of the State of Hawaiʻi, without regard to conflict of law principles.

16. Amendments

Waiʻōmaʻo Momona LLC reserves the right to update or modify these Terms at any time. Continued use of the Platform following such changes constitutes acceptance of the revised Terms.
